Terms and Conditions

Endymion OÜ provides its services according to the conditions defined in this page. These general conditions of sale apply to all offers from Endymion OÜ and any agreement concluded at a distance between Endymion OÜ and its client. The text of these general conditions is made available to the customer, before any contract is concluded.
These Terms of Sale govern the sale of products between Endymion OÜ and you. Spinest.fr is a commercial name of Endymion OÜ.
Please read these conditions carefully before placing an order on Spinest.fr. By ordering from Endymion OÜ, you confirm your agreement to be bound by these conditions.

1. Scope of the Terms
Endymion OÜ (hereinafter Spinest) carries out all deliveries and services solely on the basis of these Conditions.

3. Object of the contract
The object and scope of the delivery/performance of the contract come from the descriptive sheet of the article, as they result from the offer of Spinest at the time of the order. Specific qualities are only guaranteed when they are found in the description of the article or when they have been guaranteed in writing by Spinest.
After placing your order, we will send you an e-mail confirming it. We inform you of the sending of your articles. You nevertheless have the possibility of modifying your order until the date of dispatch of your articles.
The products are offered for sale while stocks last. In the event of an order for a product that has become unavailable, the customer will be informed of this unavailability, as soon as possible, by e-mail or by telephone.

4. Order
The customer validates his order when he clicks on the “confirm your order” button after having accepted these conditions of sale. Before this validation, it is systematically proposed to the customer to check each of the elements of his order; he can thus correct any errors. Spinest confirms the order by e-mail; this information includes in particular all the elements of the order. The data recorded by Spinest constitutes proof of the nature, content and date of the order. This is archived by Spinest under the legal conditions and deadlines; the customer can access this archive by contacting customer service.

5. Terms of payment
When payment in advance has been chosen, Spinest confirms the order in writing and invoices the amount due. Once payment has been made, the ordered goods are dispatched/the service is provided. If you wish to pay for your order on credit, payment is due 14 days after the invoice date.

6. Currency
Billing in € (EURO).

7. Price
All prices displayed on Spinest.eu are inclusive of VAT (all taxes included), but do not include shipping costs. The amount of VAT is specified when the customer selects a product and the shipping costs appear on the screen at the end of the selection of the various products by the customer. Spinest.eu reserves the right to modify its prices at any time, but the products ordered are invoiced at the price in effect when the order is registered.

8. Delivery
When delivery times are mentioned in the description of the article, they only apply provided that Spinest itself has been delivered on time and completely by its suppliers. When a delivery becomes impossible due to non-delivery to Spinest.eu itself, Spinest.eu is authorized to terminate the contract. Spinest.eu is required to inform the buyer of the unavailability without delay and to reimburse the services provided without delay.

Any delivery times indicated are approximate data, without guarantee and without binding character. Spinest constantly strives to meet deadlines; nevertheless, there may be, in particular cases, variations in time limits.
If the non-mandatory delivery date or deadline has been exceeded by two weeks, the purchaser may demand in writing from Spinest the performance of the contract, within a reasonable period of at least ten days. This does not apply when the purchaser has not cooperated in the execution of the contract by Spinest or refuses to do so. In the event that Spinest does not execute the contract before the expiry of the deadline, the purchaser may terminate the contract. This does not apply when the delay is attributable to a case of force majeure or other unforeseeable circumstances, such as natural disasters, riots, war, disruption of operations, strike or lock -out, even at Spinest suppliers or subcontractors. Spinest reserves the right to make minimal construction modifications, without changing the purpose of the service and bearable by the purchaser.
Approximated Delivery time: 4 to 10 days. Delivery time can be longer due to any other problems in postal service like strikes or other caused delays.  The goods come from the factory in Estonia

9 Warranty
Our goods are guaranteed for 1 to 2 years depending on the product, however, this guarantee cannot be invoked in the case of damage resulting from the incorrect use of the equipment, nor will it apply in the event that it has been noted the intervention of an outside person on the equipment.

10. Right of withdrawal / Returns
At Spinest, customers have a right of withdrawal of 14 days during which you can return the products to us without having to specify the reasons. You can exercise this right on all items purchased on Spinest.fr, except in the case of the exceptions mentioned. This 14-day period begins on the date the consumer receives the product. During this period, the customer must treat the product and the packaging with respect. The customer may take the product out of its packaging to the extent necessary to assess the item. In case of a return, the product must be returned with all accessories and in its original packaging. More information on this subject in the return page.
Within 14 days after receipt of your order, Spinest offers you the possibility of replacing your product or having the price of the product reimbursed. Return costs are free if the item is defective, damaged or non-compliant. Return costs will be your responsibility if the item is in good condition, but you just want to return it.
Please note that products must be returned to us in their original condition (original packaging and undamaged), within 14 days.

11. Security and Privacy
Spinest complies with all data protection requirements, in particular the requirements of the Telemedia Act.

12. Order and Delivery
The goods sold remain the property of Spinest until full payment of their price. However, the risks relating to the goods will be transferred to the buyer or the carrier, upon physical delivery of the products.
All products remain the property of Spinest until full payment has been made. All deliveries are subject to our terms and conditions.

13. Applicable law
Estonian law, as well as the United Nations Convention on the International Sale of Goods of 1980 apply to any legal relationship between the parties.

14. Final provisions
The language of the contract is English.
If the dispute cannot be resolved by mutual agreement, the matter will be brought before the Judge of Harju at the following address: Liivalaia 24, 15034, Tallinn, Estonia.
